1. Overview
These Subscription & Purchase Terms ("Purchase Terms") apply to any paid features, subscriptions, usage-based services, consulting engagements, pilot deployments, implementation services, AI-processing features, software access, API access, support services, lifecycle partnership services, credential-gated services, professional services, or other paid digital or professional services offered through HyperAILab and related websites, platforms, tools, project spaces, and services (collectively, the "Service").
These Purchase Terms apply in addition to the Terms of Service, Privacy Policy, Acceptable Use Policy, Disclaimer, Commercial Disclosure under Japanese Law, any checkout terms, any order form, any statement of work, any invoice, and any signed written agreement.
If the Service is currently offered only as an unpaid website, beta, pilot, research preview, credential-gated portfolio, invitation-only evaluation, unpaid consultation, or unpaid demonstration, these Purchase Terms apply when paid services are introduced or enabled.

3. Nature of Paid Service
HyperAILab provides AI solutions, AI consulting, production AI platforms, automation systems, analytics and insight tools, strategy support, operating-model design, enterprise governance support, discovery workshops, implementation support, lifecycle support, and related digital or professional services.
Paid services may include access to or delivery of:
- production AI platforms;
- AI automation and insight systems;
- strategic consulting;
- use-case discovery and prioritization;
- business-impact assessment;
- operating-model design;
- enterprise governance support;
- privacy, security, auditability, and risk-management support;
- discovery workshops;
- pilot deployments;
- proof-of-concept development;
- custom software, workflow, dashboard, model, integration, or API work;
- AI-processing features;
- credential-gated portfolio or demo access;
- implementation, maintenance, support, and lifecycle partnership services;
- reports, documentation, technical artifacts, and project deliverables;
- other digital or professional features disclosed before purchase or contract formation.
Specific paid features, deliverables, limits, billing intervals, access conditions, eligibility requirements, project assumptions, acceptance criteria, and delivery timelines will be stated before purchase or in a separate order form, statement of work, invoice, proposal, or signed written agreement.
4. No Regulated Professional Service Unless Expressly Agreed
Paid access does not change the nature of the Service.
Unless expressly stated in a signed written agreement by a properly qualified provider, the Service does not provide:
- legal advice;
- medical advice;
- clinical advice;
- pharmaceutical advice;
- financial advice;
- investment advice;
- tax advice;
- accounting advice;
- regulated compliance certification;
- audit certification;
- security certification;
- engineering certification;
- brokerage;
- exchange services;
- custody;
- fiduciary services;
- public-authority decisions;
- regulated professional opinions.
Users and clients remain solely responsible for all legal, medical, financial, tax, accounting, compliance, procurement, security, privacy, technical, operational, and risk-management decisions.
5. Merchant of Record and Payment Processing
Payments may be processed by a third-party Merchant of Record, payment provider, bank, invoice system, or other payment service.
Where a Merchant of Record is used:
- the Merchant of Record may be the seller of record for transaction purposes;
- the Merchant of Record may be responsible for billing, payment processing, tax calculation, tax collection, invoices, receipts, payment support, chargebacks, and refund handling;
- the Merchant of Record's terms and policies may apply to the transaction.
Where a payment processor is used without a Merchant of Record:
- the operator or another disclosed seller remains the merchant;
- the payment processor facilitates the transaction;
- the payment processor's terms and privacy policy apply to payment processing.
Applicable provider details will be disclosed at checkout, in an order form, in a statement of work, on an invoice, or through another durable method where required.
6. Pricing and Billing
6.1 Pricing
All prices will be displayed or agreed before purchase or contract formation.
Prices may be shown inclusive or exclusive of taxes depending on provider configuration, jurisdiction, checkout presentation, invoice terms, or contract terms. Applicable taxes, fees, billing intervals, subscription prices, project fees, usage rates, milestone payments, reimbursable expenses, and total charges will be disclosed before purchase or contract formation where required.
6.2 Billing Cycle
Subscriptions may be billed on a recurring basis, such as monthly, annually, or another interval disclosed at checkout or in a written agreement.
Consulting, implementation, development, pilot, and support services may be billed upfront, on milestones, monthly, on usage, on time and materials, on retainer, or according to another structure disclosed in an order form, statement of work, invoice, or signed written agreement.
6.3 Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless canceled before renewal.
Renewal terms and timing will be disclosed before purchase. By subscribing, you authorize recurring charges until cancellation.
7. Checkout and Contract Disclosure
At the final purchase screen, order form, statement of work, invoice, or signed written agreement, the following information will be presented where required:
- total price or pricing method;
- billing interval;
- payment timing;
- automatic renewal conditions;
- subscription term;
- cancellation method;
- refund conditions;
- service delivery timing;
- applicable taxes and fees;
- material feature limits;
- project assumptions;
- access eligibility requirements;
- deliverable scope and exclusions where applicable;
- any other required purchase information.
You must review and confirm these details before completing a purchase or signing an agreement.
8. Free Trials, Beta Access, Pilot Access, and Credential-Gated Access
If a free trial is offered:
- the trial duration will be stated;
- included features and limits will be disclosed;
- conversion to paid subscription will be disclosed;
- automatic billing after trial will be indicated;
- cancellation requirements before the trial ends will be stated.
Failure to cancel before the trial ends may result in charges if automatic conversion is disclosed before the trial begins.
Beta access, pilot access, proof-of-concept access, research-preview access, prototype access, demo access, whitelist access, invitation-only access, and credential-gated access may be modified, limited, suspended, revoked, or discontinued at any time unless a paid plan or signed written agreement states otherwise.
Approval of access does not create a regulated professional, legal, medical, financial, fiduciary, compliance-certification, security-certification, or public-authority relationship.
9. Cancellation
9.1 Subscription Cancellation Method
You may cancel a subscription through one or more available methods:
- account settings;
- billing portal provided by the payment provider;
- Merchant of Record account or checkout portal;
- email to contact@hyperailab.com;
- another method displayed at checkout, in an order form, in a statement of work, or on an invoice.
9.2 Consulting and Project Cancellation
Consulting, implementation, development, pilot, support, and custom project services may be subject to separate cancellation terms stated in an order form, statement of work, invoice, proposal, or signed written agreement.
Unless otherwise stated, cancellation does not eliminate payment obligations for completed work, commenced work, reserved capacity, milestone work, custom deliverables, consumed AI processing, third-party costs, reimbursable expenses, or non-cancelable commitments.
9.3 Effect of Cancellation
Cancellation stops future billing where applicable.
Unless otherwise stated:
- access to paid digital features continues until the end of the current billing period;
- already charged fees are not refunded;
- downgraded, delayed, free, beta, or restricted access limits may apply after the paid period ends;
- stored data may remain subject to the Privacy Policy, project terms, and applicable retention rules.
You are responsible for canceling before renewal if you do not want the subscription to continue.
10. Refunds
10.1 General Policy
Payments are non-refundable except where required by law or expressly stated at checkout, in an order form, in a statement of work, on an invoice, or in a signed written agreement.
10.2 Digital and Professional Services
Because the Service may provide digital content, software access, AI processing, consulting, implementation, custom configuration, support, project work, and professional services, refunds may not be available once access is granted, work begins, AI processing is performed, consulting is delivered, project artifacts are created, API access is enabled, support is provided, or other paid features are provided, unless required by law.
10.3 Merchant of Record Cases
If a Merchant of Record is used:
- refund requests may be handled directly by that provider;
- the provider's refund policy may apply;
- refunds may depend on provider rules, legal requirements, and transaction status.
Applicable details will be provided at checkout or through the provider's support channels.
11. Failed Payments
If payment fails:
- access to paid features may be suspended, restricted, or downgraded;
- work may be paused;
- the provider may retry billing;
- you may be required to update payment information;
- unpaid amounts may remain due unless canceled or waived;
- data retention and access may be affected by plan status and applicable policies.
12. Changes to Pricing
The operator may change pricing, plans, limits, access requirements, eligibility requirements, billing structures, service packages, or support levels at any time.
For active subscriptions, changes will be communicated in advance where required. Continued use after a price change takes effect constitutes acceptance of the changed pricing unless applicable law requires additional consent.
Custom consulting or project pricing remains subject to the applicable order form, statement of work, invoice, proposal, or signed written agreement.
13. Service Changes
Paid features may be modified, replaced, limited, suspended, or discontinued.
No guarantee is made regarding:
- specific features;
- specific deliverables outside an agreed scope;
- uninterrupted availability;
- storage limits;
- API limits;
- AI-provider availability;
- model-provider availability;
- hosting-provider availability;
- cloud-provider availability;
- third-party integration availability;
- client-system availability;
- output quality;
- model accuracy;
- automation quality;
- implementation outcome;
- adoption outcome;
- business impact;
- compliance outcome;
- security outcome;
- support continuity;
- data accuracy;
- long-term continuity of any feature.
Where required by law or contract, users will receive appropriate notice of material changes affecting paid services.
14. User and Client Responsibility
You are responsible for:
- reviewing all purchase, subscription, order, project, and statement-of-work terms before purchase;
- confirming that the selected plan or project scope meets your needs;
- maintaining accurate billing information;
- managing your subscription;
- canceling before renewal if you do not wish to continue;
- providing accurate project information, data, access, approvals, and feedback;
- reviewing AI outputs, technical outputs, automations, and project deliverables critically;
- verifying important information independently;
- obtaining qualified professional advice where needed;
- complying with laws, regulations, tax rules, procurement rules, privacy rules, security rules, industry rules, platform terms, and internal policies;
- using the Service in accordance with all applicable policies.
15. No Guaranteed Outcomes
No guarantees are made regarding:
- revenue;
- profit;
- cost reduction;
- productivity increase;
- adoption rate;
- deployment time;
- automation level;
- model accuracy;
- output accuracy;
- error reduction;
- compliance outcome;
- security outcome;
- privacy outcome;
- procurement outcome;
- regulatory approval;
- uptime;
- data quality;
- long-term continuity;
- suitability for a specific purpose.
AI outputs, project estimates, pilot results, demos, prototypes, dashboards, automations, reports, and recommendations should be treated as informational and operational aids only unless expressly stated otherwise in a signed written agreement.
16. Limitation of Liability
To the fullest extent permitted by law, the operator is not liable for:
- subscription-related or project-related disputes arising from misunderstanding disclosed terms;
- indirect, incidental, special, consequential, exemplary, or punitive damages;
- loss of data, profits, revenue, business, contracts, opportunities, goodwill, reputation, productivity, market position, access, or expected savings;
- losses resulting from use of, inability to use, or reliance on the Service;
- losses caused by third-party payment providers, Merchants of Record, AI providers, model providers, hosting providers, cloud providers, integration providers, client systems, communication platforms, or other third-party services;
- decisions made based on Service outputs;
- errors in AI outputs, code, automations, reports, workflows, integrations, summaries, classifications, or recommendations;
- compliance, privacy, security, legal, medical, financial, tax, procurement, employment, public-sector, or operational consequences resulting from user or client decisions.
Nothing in these Purchase Terms limits rights or liability that cannot be excluded under applicable law.
17. Compliance with Laws
These Purchase Terms are intended to support compliance with applicable consumer protection, e-commerce, digital-service, professional-service, and commercial laws, including laws of Japan where applicable.

18. Changes to These Purchase Terms
These Purchase Terms may be updated at any time. Updated versions will be published on the website, inside the Service, or through another reasonable notice method.
Continued use of paid services after an update constitutes acceptance of the updated Purchase Terms where permitted by law.
