1. Acceptance of Terms

By accessing or using HyperAILab, the HyperAILab website, credential-gated portfolio areas, AI solution demos, consulting materials, production AI platforms, automation systems, advisory services, enterprise governance materials, lifecycle support services, contact forms, documentation, APIs, integrations, project workspaces, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not use the Service.

These Terms apply together with the Privacy Policy, Acceptable Use Policy, Disclaimer, Subscription & Purchase Terms, Commercial Disclosure under Japanese Law, applicable statements of work, order forms, invoices, signed written agreements, and any other terms presented in connection with the Service.

2. Service Provider

The operator may provide additional legal, commercial, payment, or contact information where required by applicable law, checkout providers, payment providers, regulators, courts, clients, or legitimate pre-purchase disclosure requests.

3. Nature of Service

HyperAILab provides AI solutions, AI consulting, production AI platforms, automation systems, analytics and insight tools, strategy support, operating-model design, enterprise governance support, discovery workshops, implementation support, lifecycle support, and related digital or professional services.

The Service may include:

  • production AI platforms;
  • ready-to-run systems for automation and insight;
  • strategic consulting for vision definition, use-case prioritization, impact sizing, stakeholder alignment, and adoption planning;
  • enterprise governance support for privacy, compliance, security, auditability, and risk-management workflows;
  • lifecycle partnership services from discovery workshops to pilots, production deployment, maintenance, support, and scaled operations;
  • credential-gated portfolio materials, demos, prototypes, case studies, and restricted project materials;
  • AI systems, automations, dashboards, integrations, APIs, reports, code, documents, and project artifacts;
  • services for business, government, individual, retail and e-commerce, consumer goods and services, healthcare and pharma, logistics and supply chain, finance and banking, technology and information technology, automotive, energy, and other sectors;
  • beta, pilot, experimental, research-preview, invitation-only, credential-gated, or under-development features.

The Service is designed for informational, technical, research, evaluation, consulting, implementation, and operational-support use. It is not a regulated professional advisory service unless expressly stated in a signed written agreement by a properly qualified provider.

4. Eligibility

You must be at least 18 years old, or the legal age required in your jurisdiction, to use the Service.

By using the Service, you represent that you meet the applicable age and capacity requirements and that your use of AI solutions, consulting materials, project outputs, and related services is lawful in your jurisdiction and authorized by your organization where applicable.

5. Accounts and Access

Where account functionality, credential-gated access, portfolio access, demos, project spaces, APIs, or restricted materials are available:

  • you are responsible for maintaining account security;
  • you must provide accurate information;
  • you are responsible for all activity under your account;
  • you must not share, sell, rent, transfer, or assign your account or credentials without written permission;
  • you must promptly notify the operator of unauthorized access.

The Service may operate under beta, pilot, whitelist, invitation-only, credential-gated, client-specific, admin-created, or restricted-access models. Public self-registration may be disabled or restricted.

The operator may approve, deny, suspend, revoke, limit, or terminate access for legal, regulatory, operational, security, payment, pilot, beta, client, abuse-prevention, confidentiality, or policy reasons.

6. User Content

"User Content" means any content, files, identifiers, prompts, messages, feedback, data, URLs, business materials, technical materials, project materials, credentials, account information, uploaded materials, communication records, or other materials you submit to or create through the Service.

You retain ownership of your User Content, subject to these Terms and any applicable project agreement.

You grant the operator a limited, non-exclusive, worldwide license to host, store, copy, process, transmit, extract, analyze, index, embed, summarize, retrieve, generate outputs from, display to you, use for access verification, export, delete, and otherwise use User Content as necessary to provide, secure, maintain, improve, and enforce the Service.

You represent and warrant that:

  • you have the necessary rights, authority, consents, notices, permissions, and legal bases to submit and process your User Content;
  • your User Content does not violate applicable law, internal policy, contract, confidentiality obligation, privacy obligation, professional duty, or third-party rights;
  • your User Content does not contain malware, harmful code, corrupted content, prompt-injection payloads, or prohibited material;
  • your User Content does not contain unnecessary sensitive personal data, credentials, secrets, private keys, access tokens, regulated data, or confidential third-party data;
  • you will not submit content that you are not authorized to process through the Service.

7. Data, Third-Party Data, and Derived Outputs

The Service may display, process, or derive outputs from public data, client data, user-submitted data, third-party data, project data, documents, code, system logs, websites, APIs, databases, communication records, and AI-generated content.

The operator does not guarantee that any data is accurate, complete, timely, uninterrupted, licensed for your separate use, secure for your use case, or suitable for a specific purpose.

Service outputs may include reports, summaries, strategies, operating models, project plans, technical documents, code, workflows, automations, dashboards, classifications, analyses, model outputs, annotations, and AI responses ("Service Outputs").

You may use Service Outputs only in accordance with these Terms, applicable project terms, and applicable law. You must not resell, redistribute, sublicense, scrape, bulk copy, publicly disclose, or commercially exploit restricted outputs without written permission.

8. AI Outputs and Model Limitations

The Service may generate AI-assisted outputs, including summaries, recommendations, classifications, strategies, technical plans, code, workflows, answers, source-based responses, analyses, or other materials.

AI outputs may be inaccurate, incomplete, outdated, biased, unsafe, non-compliant, unsuitable, delayed, or affected by data limitations, missing sources, incorrect inputs, model limitations, retrieval errors, provider availability, integration failures, or system degradation.

AI outputs are provided as informational and operational aids. They are not factual guarantees, professional conclusions, legal advice, medical advice, financial advice, tax advice, accounting advice, regulated compliance certification, security certification, or final determinations.

You are responsible for reviewing AI outputs, validating important information independently, and deciding whether any output is useful, safe, compliant, and appropriate.

9. No Legal, Medical, Financial, Compliance, or Other Regulated Advice

Unless expressly stated in a signed written agreement by a properly qualified provider, the Service does not provide:

  • legal advice;
  • medical advice;
  • clinical advice;
  • pharmaceutical advice;
  • financial advice;
  • investment advice;
  • tax advice;
  • accounting advice;
  • regulated compliance certification;
  • audit certification;
  • security certification;
  • engineering certification;
  • brokerage services;
  • exchange services;
  • custody services;
  • public-authority decisions;
  • fiduciary services;
  • other regulated professional services.

No relationship created by the Service is a lawyer-client, doctor-patient, adviser-client, broker-client, fiduciary, auditor-client, certifier-client, public-authority, or regulated professional relationship unless expressly stated in a signed written agreement and legally permitted.

Any decisions or actions taken based on the Service are solely your responsibility.

10. No Reliance and User Responsibility

You agree that you will not rely on Service Outputs, demos, prototypes, reports, workflows, automations, dashboards, code, consulting materials, project materials, recommendations, deployment estimates, or AI responses as the sole basis for legal, medical, financial, tax, compliance, procurement, employment, government, safety, business, technical, operational, or other important decisions.

You are solely responsible for:

  • independent verification;
  • human review;
  • testing and validation;
  • model, workflow, integration, and automation monitoring;
  • obtaining qualified professional advice where needed;
  • complying with laws and regulations;
  • complying with contracts, procurement rules, security rules, privacy rules, industry rules, professional duties, platform terms, and internal policies;
  • managing accounts, credentials, API keys, cloud access, client systems, databases, approvals, deployment environments, and operational controls;
  • all legal, medical, financial, tax, compliance, procurement, employment, public-sector, safety, business, technical, and operational consequences.

11. High-Impact and Regulated Use

Use of the Service in government, healthcare and pharma, finance and banking, logistics and supply chain, automotive, energy, employment, consumer services, security, or other regulated or high-impact environments requires independent review and appropriate safeguards.

You must not use Service Outputs as the sole basis for decisions affecting:

  • health, diagnosis, treatment, triage, patient care, or clinical outcomes;
  • credit, lending, insurance, banking, financial eligibility, investment, or tax treatment;
  • employment, compensation, discipline, hiring, firing, or promotion;
  • legal rights, public benefits, public services, immigration, law enforcement, or government authority;
  • safety-critical systems, infrastructure, transportation, industrial controls, physical security, or emergency response;
  • biometric identification, surveillance, profiling, or access to essential services.

You are responsible for obtaining required licenses, reviews, approvals, notices, consents, audit trails, risk assessments, validation, monitoring, and human oversight.

12. Prototypes, Pilots, Forecasts, and Performance Displays

Prototypes, pilots, proof-of-concepts, forecasts, benchmarks, validation charts, simulations, demos, historical metrics, deployment estimates, and example performance metrics are provided for informational and research purposes unless expressly stated otherwise in a signed written agreement.

They may be affected by:

  • assumptions;
  • incomplete requirements;
  • limited data;
  • data quality issues;
  • overfitting;
  • evaluation bias;
  • changing business conditions;
  • integration differences;
  • client-side implementation differences;
  • third-party provider changes;
  • security restrictions;
  • production environment differences;
  • user adoption differences.

No prototype, pilot, proof-of-concept, benchmark, estimate, or performance display guarantees revenue, cost savings, productivity gains, automation level, deployment time, model accuracy, compliance outcome, security outcome, uptime, or future results.

13. Third-Party Services

The Service may reference, depend on, or integrate with third-party services, including:

  • AI providers;
  • model providers;
  • cloud providers;
  • hosting providers;
  • database and storage providers;
  • communication platforms;
  • analytics, monitoring, infrastructure, backup, and security providers;
  • payment providers;
  • Merchants of Record;
  • client systems;
  • APIs;
  • software vendors;
  • open-source software.

The operator is not responsible for third-party services, content, policies, outages, pricing, fees, licensing terms, data handling, security practices, provider changes, model changes, API changes, or actions.

Your use of third-party services may be subject to their own terms and privacy policies.

References to any third party do not imply endorsement, partnership, certification, guarantee, or responsibility unless expressly stated.

14. User Conduct

You agree not to:

  • use the Service for unlawful purposes;
  • violate applicable laws or regulations;
  • interfere with system integrity, security, or availability;
  • attempt unauthorized access to systems, data, accounts, files, APIs, portfolio materials, credentials, project spaces, or administrative functions;
  • upload malware, harmful files, corrupted content, prompt-injection payloads, or exploit payloads;
  • scrape, crawl, mirror, bulk download, or extract data without authorization;
  • misuse AI features or attempt to bypass safeguards;
  • submit content that infringes rights or violates privacy;
  • submit confidential, regulated, sensitive, or third-party data without authorization;
  • harass, abuse, threaten, defame, deceive, manipulate, impersonate, or harm others;
  • use the Service to unlawfully surveil, profile, exploit, or make automated decisions about another person;
  • submit false account, organization, project, billing, identity, verification, or access information;
  • resell or commercially exploit the Service without written permission.

Additional restrictions are stated in the Acceptable Use Policy.

15. Uploads, Files, and Context Processing

The Service may support uploads, submitted context, prompts, URLs, documents, code, websites, system materials, project materials, or other files where available.

The Service may validate files, restrict file types, apply parser limits, reject mismatches, cap extracted text, use timeouts, or block content for security or operational reasons.

The Service does not guarantee that every file, prompt, URL, codebase, document, or context item will upload, parse, ingest, extract, embed, summarize, retrieve, analyze, generate, or process correctly.

You are responsible for ensuring that submitted materials are lawful, accurate, secure, and authorized for processing through the Service.

16. Data Controls

The Service may provide account controls or support processes for:

  • requesting access to data;
  • correcting account data;
  • exporting data;
  • deleting data;
  • closing an account.

Some information may remain where retention is required by law, tax, accounting, billing, security, fraud prevention, sanctions compliance, dispute resolution, backup integrity, project obligations, contract obligations, or audit obligations.

17. Intellectual Property

The Service, including software, design, interface, workflows, systems, algorithms, models, prompts, charts, dashboards, indicators, documentation, branding, portfolio materials, demos, reports, templates, methods, and non-user materials, is owned by or licensed to the operator.

Except as permitted by these Terms, you may not:

  • copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Service;
  • modify, adapt, translate, or create derivative works from the Service;
  • reverse-engineer, decompile, disassemble, or attempt to extract source code, prompts, embeddings, algorithms, architecture, security logic, implementation methods, workflows, templates, datasets, or non-public system behavior;
  • remove copyright, trademark, or proprietary notices;
  • use Service content, design, name, branding, outputs, screenshots, portfolio materials, reports, or demos to misrepresent affiliation, approval, certification, or endorsement.

Unless otherwise agreed in a signed written agreement, custom deliverables, background technology, pre-existing materials, third-party materials, open-source components, client materials, and license rights are governed by the applicable project terms, licenses, and law.

18. Service Availability

The Service is provided "as is" and "as available."

No guarantee is made that the Service will be uninterrupted, secure, error-free, accurate, compatible, timely, suitable, or available at any particular time.

The operator may:

  • modify, suspend, or discontinue the Service or any feature;
  • perform maintenance;
  • restrict access;
  • impose rate limits, usage limits, API limits, data limits, account limits, project limits, or AI-processing limits;
  • suspend access without prior notice for legal, regulatory, operational, security, confidentiality, abuse-prevention, payment, project, client, or policy reasons.

19. Subscriptions, Payments, and Project Terms

If paid services are introduced or enabled:

19.1 Payment Processing

Payments may be handled by a third-party Merchant of Record, payment provider, bank, invoice system, or other payment service. Applicable details will be disclosed at checkout, in an order form, in a statement of work, on an invoice, or through another durable method.

19.2 Pricing and Billing

Pricing, billing intervals, taxes, payment timing, renewal conditions, access conditions, project scope, deliverable scope, and plan limits will be disclosed before purchase or contract formation.

Subscriptions renew automatically unless canceled before renewal.

19.3 Cancellation

Cancellation must be available through a clear method, such as account settings, a billing portal, a Merchant of Record portal, email to contact@hyperailab.com, or another method displayed at checkout, in an order form, in a statement of work, or on an invoice.

Cancellation stops future billing where applicable but does not retroactively refund charges unless required by law or expressly stated.

19.4 Free Trials

Terms of any free trial will be disclosed. Automatic conversion to a paid subscription will be explicitly indicated where applicable.

19.5 Project Terms

Consulting, implementation, development, pilot, and support services may be governed by a separate order form, statement of work, invoice, proposal, or signed written agreement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls to the extent of the conflict.

Additional payment terms are stated in the Subscription & Purchase Terms.

20. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise.

No representation or warranty is made regarding:

  • accuracy;
  • completeness;
  • reliability;
  • timeliness;
  • security;
  • compatibility;
  • fitness for a particular purpose;
  • non-infringement;
  • data quality;
  • AI output quality;
  • model quality;
  • automation quality;
  • code quality;
  • integration quality;
  • workflow quality;
  • recommendation quality;
  • project outcome;
  • business outcome;
  • legal outcome;
  • medical outcome;
  • financial outcome;
  • compliance outcome;
  • security outcome;
  • procurement outcome;
  • tax outcome;
  • continuity of service.

21. Limitation of Liability

To the fullest extent permitted by law, the operator shall not be liable for:

  • direct, indirect, incidental, consequential, special, exemplary, or punitive damages;
  • loss of data, profits, revenue, business, contracts, opportunities, goodwill, reputation, productivity, expected savings, market position, or access;
  • decisions made based on the Service;
  • reliance on Service Outputs or AI outputs;
  • errors in data, outputs, reports, code, automations, workflows, integrations, summaries, classifications, recommendations, retrieval, AI responses, or live displays;
  • third-party service failures;
  • unauthorized access beyond reasonable control;
  • service interruption or data loss;
  • compliance, privacy, security, legal, medical, financial, tax, procurement, employment, public-sector, or operational consequences resulting from user or client decisions.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

22. Indemnification

You agree to indemnify and hold harmless the operator from any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

  • your use of the Service;
  • your User Content;
  • your business, technical, operational, legal, medical, financial, tax, compliance, procurement, employment, public-sector, or safety decisions;
  • your systems, accounts, credentials, APIs, cloud environments, client environments, integrations, or third-party account activity;
  • your violation of these Terms;
  • your violation of the Acceptable Use Policy;
  • your violation of applicable law;
  • your violation of third-party rights;
  • claims by clients, users, employees, contractors, patients, customers, citizens, vendors, partners, regulators, or third parties resulting from your actions, content, outputs, implementations, promotions, or decisions.

23. Termination

The operator may suspend or terminate your access at any time for:

  • violation of these Terms;
  • violation of related policies;
  • misuse of the Service;
  • security risk;
  • confidentiality risk;
  • fraud risk;
  • payment risk;
  • legal or regulatory reasons;
  • operational reasons;
  • beta, pilot, whitelist, invitation-only, credential-gated, client, or account-access reasons;
  • discontinuation of the Service.

Upon termination, your right to use the Service stops immediately. Data retention, export, erasure, and deletion rights remain subject to the Privacy Policy, applicable law, project terms, and technical feasibility.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, unless mandatory law requires otherwise.

Unless otherwise required by applicable law, disputes shall be subject to the jurisdiction of the courts of Japan.

Specific project agreements, order forms, statements of work, or enterprise contracts may state a different governing law or dispute forum. If so, the more specific signed terms govern that project to the extent permitted by law.

25. Changes to These Terms

These Terms may be updated at any time. Updated versions will be published on the website, inside the Service, or through another reasonable notice method.

Continued use of the Service after an update constitutes acceptance of the updated Terms where permitted by law.
